This will serve as your written agreement regarding the terms of your use of Sustenance.

By executing this agreement, you agree that __________ (Company Name), in consideration of being permitted to enter onto, use, or occupy property or facilities belonging to or under the control of Sustenance Cooking Studio, does hereby agree to waive, release absolutely, indemnify and save harmless Sustenance Cooking Studio, its owners, employees and agents from and against all claims, demands, awards, judgments, actions, causes of action and proceedings by whomsoever made or brought in respect of any personal or bodily injury (including death) to any person, and any loss of or damage to any property caused directly or indirectly by or as a result of _____________(company name), or its agents, contractors and their employees and sub-contractors, using, entering, or occupying property belonging to, or under control of Sustenance Cooking Studio.

If you agree to the Sustenance Regulations, please initial each regulation on pages 1-3 of the Rental Policy. If you agree to the terms set forth in this letter, please sign below and return to us by June 31, 2010,. On receipt of the signed agreement, proof of insurance coverage, a payment of 50% of the rental fees and full security deposit, the date and time for your event will be reserved. When executed, this agreement and the accepted Regulations shall constitute the entire agreement between the parties.

The balance of fees is due 30 days prior to the event. Full payment of all fees is required upon receipt of signed agreement for any event scheduled within 30 days. Sustenance may retain all of a portion of the deposit if physical damage is done to any part of the facility, if significant cleaning above and beyond normal use is required, if Sustenance deems any action by the client and or guests inappropriate or if any other default occurs hereunder. Sustenance will determine the amount to be refunded to the client. Any refund due will be mailed to the client within 30 days after the event date. Sustenance shall not be required to keep the security deposit separate from its general funds and the client shall not be entitled to interest on the security deposit. Sustenance’s  rights with respect to the security deposit shall be in addition to all other rights or remedies available in the event of a breach.

Failure to insist upon strict compliance with any term, covenant, or condition of these regulations or the facility use agreement between User and Sustenance shall not be deemed a waiver of such term, covenant, or condition.

In the event, any breach of the facility use agreement or Regulations or in the event that any action is commenced to enforce the facility use agreement between the User and Sustenance, the prevailing party shall be entitled to cover its costs and expenses, including reasonable attorney’s fees.

I acknowledge that I have read these Regulations and will abide by and enforce its terms. I certify that I am the person responsible for payment and insuring compliance with these Regulations. If these Regulations being agreed to on behalf of an entity, I represent that I have the authority to bind the entity without the necessity of additional signatures or corporate action. I will accept all responsibility for any damages arising from this use of Sustenance and grounds. I understand that my event is not approved until I receive a letter of approval in writing from the Sustenance.

These regulations and agreement between the User and Sustenance may not be waived or modified unless such waiver or modification is in writing and duly executed by the owner of Sustenance or his agent.  Other personnel of Sustenance have no authority to modify or waive any portions of these regulations or the facility use agreement.
